The Greater New Orleans Foundation’s Organizational Effectiveness (OE) Initiative is partnering with the Louisiana Association of Nonprofit Organizations (LANO) to present a Governance Fundamentals and Board Roles and Responsibilities workshop.
This session is designed for board members, executive directors, and senior staff who are interested in deepening their understanding of nonprofit governance and better aligning the work of the board to heighten board engagement and maximize its impact.
Participants are encouraged to bring their bylaws, governance handbook, and recent board meeting agendas for reference during the series.
In this workshop, we’ll cover the following topics:
- The purpose of nonprofit governance and the board’s legal obligations of duty, loyalty and obedience.
- Using CompassPoint’s Governance and Management Support tool, we’ll discuss the specific roles and responsibilities of board members.
- How to tailor board engagement based on organizational needs and individual board members’ interests, skills, and capacity.
- How to create a powerful leadership partnership among the board, executive director, and other staff.
Learning Objectives:
- Understand nonprofit governance and the purpose of a nonprofit board
- Understand the legal obligations of nonprofit board members.
- Understand the distinction between governance and management support; understand the board’s roles and responsibilities in each area.
- Understand the interdependent governance relationship between the ED and the board.
- Have identified ideas for how to strengthen the partnership between the board and staff.

About our Presenters:
Tasha Cooper, a native of Gainesville, Florida, has spent the past 18 years serving in various capacities for nonprofit organizations including management, marketing & public relations, fundraising and program development. Tasha’s nonprofit career started at 15 when she became a volunteer at Shand’s Teaching Hospital in Gainesville. After High School, Tasha majored in Communication & Public Relations at the University of West Florida in Pensacola, Florida. During her time at UWF, Tasha spearheaded the first fundraiser for the Gulf Coast Kid’s House; a shelter housing victims of domestic violence. Tasha moved to Louisiana in 2013 and in recent years has served as Division Director for the March of Dimes, Assistant Director of Annual Giving at Southeastern University and currently serves as Director of Member Services for the Louisiana Association of Nonprofit Organizations (LANO).
Kay M. Irby, Director of LANO North, has been the face of LANO, Louisiana Association of Nonprofit Organizations, in Shreveport for the last eleven years, where she has served as Director of the association’s regional office and chief liaison to nonprofits in need of organizational development and training. This past summer she and her husband moved to Baton Rouge where she is continuing her work for LANO as the Director of Organizational Development. She has been a consultant and coach for nonprofit boards all over the state of Louisiana. Her training specialties include Board Governance, Succession Planning, and an array of Nonprofit Basics. The Community Leaders program that she pioneered has trained hundreds of young professionals in nonprofit board service and has placed these young leaders on boards throughout the state. Kay has presented at conferences around the state and most recently for Board Source.
